{"id":99743,"date":"2026-08-27T03:03:33","date_gmt":"2026-08-27T03:03:33","guid":{"rendered":"https:\/\/www.timberindustrynews.com\/?p=99743"},"modified":"2026-08-27T15:39:53","modified_gmt":"2026-08-27T15:39:53","slug":"eu-raises-objections-to-upm-sappi-giant-joint-venture","status":"publish","type":"post","link":"https:\/\/www.timberindustrynews.com\/ro\/eu-raises-objections-to-upm-sappi-giant-joint-venture\/","title":{"rendered":"EU raises objections to UPM-Sappi giant joint venture"},"content":{"rendered":"<p>UPM says it can address competition concerns raised by the European Commission over its planned \u20ac1.42 billion graphic paper joint venture with Sappi, keeping one of the largest restructurings of Europe's paper industry on course despite a deeper regulatory challenge.<\/p>\n<p>The European Commission has issued a Statement of Objections to UPM and Sappi over their proposed combination of graphic paper operations, formally setting out concerns identified during its ongoing merger investigation.<\/p>\n<p>UPM confirmed receipt of the statement on 26 August and said it would examine the Commission's objections together with Sappi. The Finnish group maintains that the issues can be resolved and continues to argue that combining the businesses is necessary to maintain a viable European graphic paper supply base.<\/p>\n<p>The move follows the Commission's decision in April to open a Phase II investigation after its initial review failed to resolve competition concerns.<\/p>\n<p>The Statement of Objections does not amount to a prohibition of the transaction. It gives UPM and Sappi an opportunity to respond to the Commission's preliminary findings and potentially propose remedies before a final decision.<!--more--><\/p>\n<p><strong>Commission scrutiny focuses on an increasingly concentrated paper market<\/strong><\/p>\n<p>The planned transaction would combine the whole of UPM Communication Papers with Sappi's European graphic paper business in an independently operated company owned equally by the two groups.<\/p>\n<p>The new business would bring together 12 paper mills: eight from UPM and four from Sappi. Its portfolio would span newsprint, supercalendered paper (SC), coated mechanical paper (CM), coated woodfree paper (WFC) and uncoated woodfree paper (WFU). Around 75% of sales would be generated in Europe, with North America accounting for another 11%.<\/p>\n<p>The Commission's investigation has focused particularly on markets where the two companies are already important suppliers. Concerns identified during the Phase II process include coated mechanical and coated woodfree papers, where further consolidation could leave European buyers with fewer competing producers.<\/p>\n<p>The regulatory challenge comes against an unusual industry backdrop. European graphic paper demand has been declining for years, forcing producers to close machines, reduce capacity and repeatedly restructure their mill networks.<\/p>\n<p>UPM and Sappi are effectively arguing that consolidation is part of the solution to that decline. Competition authorities must determine whether the same consolidation would leave the remaining customers facing insufficient competition.<\/p>\n<p><strong>\u20ac1.42 billion business built around 12 mills<\/strong><\/p>\n<p>UPM and Sappi signed the definitive agreement in May after first announcing the proposed combination in December 2025.<\/p>\n<p>The businesses being contributed have a combined enterprise value of \u20ac1.42 billion, excluding expected synergies. UPM Communication Papers accounts for \u20ac1.10 billion of the valuation and Sappi's European graphic paper operations for \u20ac320 million.<\/p>\n<p>UPM would contribute mills at Kymi, Rauma and J\u00e4ms\u00e4nkoski in Finland; Nordland, Augsburg and Schongau in Germany; Caledonian in the UK; and Blandin in the United States.<\/p>\n<p>Sappi would contribute Kirkniemi in Finland, Ehingen in Germany, Gratkorn in Austria and Maastricht in the Netherlands.<\/p>\n<p>The scale of the proposed company is central to both the industrial case for the transaction and the Commission's competition review.<\/p>\n<p>UPM and Sappi expect approximately \u20ac100 million in annual synergies, generated through mill and logistics optimisation, product portfolio rationalisation, purchasing efficiencies and operational improvements.<\/p>\n<p>Those savings are substantial relative to the profitability currently generated by graphic papers.<\/p>\n<p>UPM Communication Papers reported sales of \u20ac2.49 billion in 2025, with comparable EBITDA of \u20ac241 million and comparable EBIT of \u20ac181 million. The business therefore generated a comparable EBIT margin of only 7.3%.<\/p>\n<p>Annual synergies of \u20ac100 million across the combined business would consequently represent much more than a marginal efficiency gain.<\/p>\n<h2 style=\"font-family: Arial, Helvetica, sans-serif; Falling demand can therefore create a difficult cycle: lower utilisation raises unit costs, weaker economics encourage closures, and closures leave fewer producers supplying the remaining market.<\/p>\n<p>UPM's position is that the joint venture would create a stronger standalone business capable of maintaining supply as the market contracts.<\/p>\n<p>The Commission must examine the other side of that equation: whether removing UPM and Sappi as independent competitors could give the combined company greater pricing power in product categories where alternatives are already becoming limited.<\/p>\n<p>Coated grades are particularly sensitive because buyers cannot necessarily switch between paper categories or suppliers as easily as aggregate graphic paper capacity figures might suggest.<\/p>\n<p>This makes the eventual remedy discussions potentially more important than the headline size of the transaction. Any concessions would have to address the specific markets where the Commission believes competition could be weakened without undermining the industrial economics that motivated the joint venture in the first place.<\/p>\n<p><strong>UPM also has a strategic reason to complete the deal<\/strong><\/p>\n<p>For UPM, the transaction is part of a much broader portfolio shift.<\/p>\n<p>Once the joint venture is completed, UPM would no longer have direct sales exposure to the declining European and North American graphic paper markets. Its 50% stake would instead be accounted for using the equity method, below operating profit.<\/p>\n<p>UPM would receive \u20ac475 million in cash, \u20ac98 million in shareholder loan receivables and half of the equity in the new company. Around \u20ac411 million of net pension and other liabilities would also transfer with the Communication Papers business.<\/p>\n<p>The structure would improve UPM's reported profitability margins and allow the group to concentrate its directly operated portfolio on renewable fibres, advanced materials and decarbonisation businesses.<\/p>\n<p>There is also an eventual exit mechanism. Three years after closing, once integration and the planned synergies have been implemented, either shareholder can initiate a divestment of its stake.<\/p>\n<p>The joint venture is therefore not simply an operational partnership between two paper producers. It creates a separately financed vehicle for mature graphic paper assets while giving both owners greater flexibility over their longer-term exposure to the sector.<\/p>\n<p><strong>The next move belongs to UPM and Sappi<\/strong><\/p>\n<p>Receiving a Statement of Objections raises the regulatory pressure but does not determine the outcome.<\/p>\n<p>UPM now has considerably more detail on the Commission's concerns and says it is confident these can be addressed. The question is what concessions, if any, would satisfy Brussels while preserving enough of the planned \u20ac100 million in synergies to keep the transaction attractive.<\/p>\n<p>Until regulatory approvals are obtained and the transaction closes, UPM Communication Papers and Sappi's European graphic paper operations will continue to operate independently. The deal also requires merger approvals in other jurisdictions, including the United States and China, with UPM previously saying final regulatory decisions were expected by the end of 2026.<\/p>\n<p>For Europe's graphic paper market, the Commission's decision will have consequences beyond UPM and Sappi.
