Five former Enviva executives are facing a lawsuit over a series of wood pellet transactions with RWE that committed the US producer to purchasing around 1.76 million tonnes at prices far above much of its contracted sales book. The deals, struck at the height of the European energy crisis in late 2022, eventually contributed to hundreds of millions of dollars in projected losses and became one of the key events preceding Enviva's Chapter 11 filing.<\/p>\n
The litigation trustee established following Enviva's bankruptcy has sued five former senior executives over four transactions with RWE Supply & Trading that left the wood pellet producer with purchase commitments of approximately $641 million.<\/p>\n
The defendants are former executives Thomas Meth, Shai S. Even, William H. Schmidt Jr., Michael A. Johnson and John K. Keppler.<\/p>\n
The action brings renewed attention to an extraordinary trading position accumulated by Enviva during the final months of 2022, when European wood pellet prices had risen to unprecedented levels following Russia's invasion of Ukraine and the subsequent energy crisis.<\/p>\n
According to court documents, Enviva agreed during the fourth quarter of 2022 to sell around 340,000 tonnes of wood pellets to RWE. At the same time, the company committed to purchasing approximately 1.76 million tonnes from RWE for delivery between 2023 and 2025.<\/p>\n
The total purchase commitment amounted to approximately $641.4 million.<\/p>\n
The transactions were concluded on or around October 13, November 19, December 8 and December 21, 2022.<\/p>\n
Purchases locked in at around $377 per tonne<\/strong><\/p>\n The economics of the contracts deteriorated rapidly as European pellet prices retreated from their 2022 highs.<\/p>\n Court records from separate securities litigation show that the average price Enviva had agreed to pay for the future RWE volumes was approximately $377.29 per tonne.<\/p>\n That compared with prices of roughly $200-235 per tonne under a number of Enviva's existing long-term sales contracts.<\/p>\n The strategy was established during an exceptional period for European biomass markets. Spot and near-term pellet prices had surged in 2022 as European energy buyers scrambled for alternatives to Russian fuels.<\/p>\n But the market subsequently moved sharply in the opposite direction. A relatively mild European winter, easing energy prices and weaker spot demand pushed pellet prices down, leaving Enviva exposed to purchase commitments established near the top of the market.<\/p>\n For 2023 alone, the company was due to purchase approximately 800,000 tonnes from RWE for around $296 million.<\/p>\n Enviva had sold 4.65 million tonnes of pellets during 2022, meaning the RWE purchase requirement for 2023 alone was equivalent to roughly 17% of the company's previous year's total sales volume.<\/p>\n Historically, pellets purchased from third parties accounted for only around 15-20% of Enviva's annual sales.<\/p>\n By March 1, 2023, forward pellet prices indicated potential losses of approximately $263-282 million on the agreements, according to allegations subsequently examined in federal securities litigation. Enviva had also begun attempting to renegotiate the agreements during the first quarter of 2023.<\/p>\n By November 2023, Enviva estimated that the agreements would negatively affect profitability, cash flow and liquidity by approximately $139.4 million in 2023, $99.2 million in 2024 and $44.8 million in 2025 \u2014 a combined impact of around $283 million.<\/p>\n Bankruptcy investigation focused on RWE transactions<\/strong><\/p>\n Enviva filed for Chapter 11 protection in March 2024 following a severe deterioration in liquidity, weak operating performance and mounting financial obligations.<\/p>\n As part of the bankruptcy process, a special committee conducted a seven-month investigation involving interviews with company officers, employees and board members and a review of a substantial volume of company documents.<\/p>\n The investigation identified potential breach-of-fiduciary-duty claims against Meth, Even, Schmidt, Johnson and Keppler relating to the RWE transactions.<\/p>\n According to Enviva's bankruptcy disclosure statement, the potential claims concerned alleged non-disclosure of the transactions and failure to seek board approval.<\/p>\n The claims were specifically excluded from the releases granted to management under Enviva's restructuring plan, allowing them to be transferred to a Litigation Trust established to pursue potential recoveries for creditors.<\/p>\n That process has now resulted in litigation against the five former executives.<\/p>\n The Litigation Trust alleges that the transactions improved near-term company results while transferring substantial financial exposure into future periods. It also alleges that senior management had compensation incentives linked to short-term performance.<\/p>\n The allegations have not been adjudicated and the defendants will have the opportunity to contest them.<\/p>\n Executive incentives had already surfaced in separate litigation involving Enviva. A US federal court examining a securities case noted allegations that a significant portion of Meth's compensation came from incentive programmes linked to adjusted EBITDA targets and Enviva's share price.<\/p>\n RWE left with a $337 million claim<\/strong><\/p>\n The financial consequences of the transactions remained visible throughout Enviva's bankruptcy.<\/p>\n Under the settlement incorporated into the company's restructuring plan, an unsecured RWE claim of approximately $337.6 million against Enviva LP was allowed. Additional claims of around $11.1 million each were allowed against Enviva Pellets Waycross and Enviva Inc., subject to limitations on distributions.<\/p>\n The restructuring plan specifically identified the five executives as \"RWE Excluded Persons\", preserving litigation connected with the transactions despite broader releases contained in the bankruptcy settlement.<\/p>\n Enviva subsequently emerged from Chapter 11 after substantially reducing its debt and transferring ownership to creditors.<\/p>\n The RWE dispute provides an unusually detailed view of the risks created during the extreme European pellet market of 2022.<\/p>\n Enviva sold approximately 340,000 tonnes into that exceptional market but committed to buying more than five times that volume for delivery during subsequent years. Those purchases were fixed at an average of around $377 per tonne at a time when much of the company's traditional business was based on considerably lower long-term sales prices.<\/p>\n The RWE transactions were not the only factor behind Enviva's financial collapse. The company was also dealing with operational problems, higher production costs, capital requirements and mounting liquidity pressure.<\/p>\n But subsequent bankruptcy proceedings placed the four transactions firmly among the events preceding the company's Chapter 11 filing.
