Austria's Binderholz Group has agreed to acquire Finnish sawmill company Kuhmo Oy, adding one of Finland's largest softwood producers to its growing Nordic manufacturing network. The transaction, which remains subject to approval by the competition authorities, strengthens Binderholz's position in Northern Europe while giving Kuhmo Oy access to the resources of one of Europe's largest integrated wood processing groups.<\/p>\n
The agreement covers the acquisition of 100% of the shares of Kuhmo Oy and its real estate subsidiary Juntinsalo Oy. Once completed, the deal will give Binderholz three sawmill operations in Finland, complementing its existing facilities in Lieksa and Nurmes.<\/p>\n
A strategic addition to Binderholz's Finnish operations<\/strong><\/p>\n The acquisition further reinforces Binderholz's long-term strategy of expanding production close to high-quality timber resources.<\/p>\n Kuhmo Oy processes more than one million cubic metres of sawlogs annually, producing approximately 500,000 cubic metres of softwood lumber. Around 80% of production consists of pine, with spruce accounting for the remaining 20%. The sawmill generates annual revenue of approximately \u20ac150 million and employs 180 people.<\/p>\n Reinhard Binder, Chairman of the Binderholz Group, said the acquisition strengthens the company's footprint in one of Europe's most productive conifer-growing regions while securing additional raw material for its downstream processing operations. Together with the group's existing Finnish sites, Kuhmo will broaden Binderholz's product offering and reinforce its ability to serve international customers.<\/p>\n Headquartered in F\u00fcgen, Austria, Binderholz operates more than 60 production sites across Europe and North America, employing around 6,000 people. Its manufacturing portfolio includes softwood lumber, engineered wood products, cross-laminated timber (CLT), glued laminated timber (glulam), solid wood panels, packaging solutions and bioenergy products.<\/p>\n A transaction shaped by a difficult market environment<\/strong><\/p>\n Although both companies describe the deal as a long-term strategic investment, the acquisition follows several challenging years for Kuhmo Oy and for the Nordic pine lumber market more broadly.<\/p>\n The Finnish producer reported a net loss of \u20ac4.5 million in 2025 on revenue of \u20ac145.5 million, marking its third consecutive year of negative earnings. Unlike many Nordic sawmills with a more balanced product mix, Kuhmo derives the vast majority of its production from pine, leaving it more exposed to weakness in that segment of the market.<\/p>\n Market conditions became even more challenging after Storm Hannes swept across Scandinavia late last year, bringing large volumes of windblown pine onto the market, particularly in Sweden. The subsequent salvage harvesting increased the availability of pine logs and, over time, contributed to higher lumber supply just as demand remained subdued. At the same time, elevated energy costs continued to squeeze margins across the industry.<\/p>\n Neither Kuhmo Oy nor Binderholz has linked the transaction directly to these developments. However, the timing suggests that the combination of sustained financial losses, weaker profitability among pine-oriented sawmills and a more difficult operating environment made the company a natural acquisition target for a well-capitalised international group seeking to expand its Nordic footprint.<\/p>\n Growth rather than restructuring<\/strong><\/p>\n Both companies emphasised that the acquisition is intended to strengthen Kuhmo Oy's long-term competitiveness rather than reduce operations.<\/p>\n Managing Director Tommi Ruha said the new ownership gives the company stronger opportunities to invest, expand production and reinforce its position in international markets. The parties also see significant potential to develop higher value-added wood products, expand exports and combine Kuhmo's manufacturing expertise with Binderholz's international sales network.<\/p>\n The transaction will not affect employment. All 180 employees will transfer to Binderholz under their existing employment terms, with the workforce described as one of the company's greatest strengths.<\/p>\n The companies also confirmed that cooperation with local forest owners, harvesting contractors, transport companies and other regional partners will continue. Maintaining these relationships is seen as essential for supporting the long-term development of the forest-based economy in Finland's Kainuu region.<\/p>\n Austrian timber companies continue their Scandinavian expansion<\/strong><\/p>\n Binderholz's acquisition of Kuhmo Oy is the latest move in a broader expansion strategy that has seen Austria's largest timber groups steadily strengthen their presence across the Nordic region. Rather than relying solely on exports, companies including Binderholz, HS Timber Group, Mayr-Melnhof Holz and Pfeifer Group have increasingly acquired Scandinavian sawmills to secure long-term access to high-quality softwood resources while integrating those assets into larger European manufacturing networks.<\/p>\n The trend has accelerated in recent years. Mayr-Melnhof Holz entered Sweden through the acquisition of Bergkvist Siljan in 2021, Pfeifer Group expanded into Finland with the purchase of P\u00f6lkky in 2023, while HS Timber Group strengthened its Nordic footprint by acquiring Sweden's Mal\u00e5 S\u00e5g earlier this year.
