There is a certain irony in the fact that HS Timber Group's newest acquisition sits barely a few hundred kilometres from the Arctic Circle. The deal, completed on 1 July, gives the Austrian group full ownership of Mal\u00e5 S\u00e5g AB \u2014 a Swedish sawmill founded in 1946 \u2014 which will now be rebranded Mal\u00e5 Timber. It is a modest-sounding transaction dressed up in the language of \"a new chapter.\" But look closer at why the mill changed hands at all, and it says as much about the pressures facing Europe's timber trade as it does about either company's ambitions.<\/p>\n
Why Setra let it go<\/strong><\/p>\n The real story behind the deal has less to do with HS Timber's ambitions than with Setra's finances. Setra is not parting with Mal\u00e5 because the mill itself is weak \u2014 it is retreating geographically because the group's overall financial position has become genuinely uncomfortable. The company closed 2025 with an operating loss of roughly SEK 622m, up from a loss of SEK 216m the year before, and followed that with a further SEK 122m loss in the first quarter of 2026. The gap between lumber prices and sharply elevated sawlog costs has simply stopped generating adequate margins.<\/p>\n Seen that way, this is fundamentally a consolidation sale \u2014 a move to free up capital and concentrate management attention on Bergslagen, where Setra's industrial core is more compact and, in the company's judgment, offers better odds of profitability. Mal\u00e5 sits well outside that core, in Sweden's far north, which makes sourcing, logistics and administration harder to integrate with the rest of the group. Setra is shedding a peripheral asset to protect its central operations at a moment when Swedish inventories are elevated, construction demand is weak, and raw material remains expensive.<\/p>\n Why it makes sense for HS Timber<\/strong><\/p>\n For HS Timber, the transaction is attractive for precisely the reasons Setra wants out. The Austrian group gains a direct industrial base in Sweden, access to Nordic pine, and a supply relationship with Sveaskog. It isn't simply buying 340,000 cubic metres of capacity \u2014 it is buying access to one of Europe's most stable and credible sources of certified raw material, reducing its reliance on Central and Eastern European sawlog markets where costs and supply risk have both been rising.<\/p>\n There is a portfolio logic at work too. Mal\u00e5 produces mostly northern pine, including kiln-dried, planed material, decking, cladding and battens \u2014 a higher-value profile than plain commodity softwood lumber, and one that gives HS Timber a stronger footing in markets such as Japan, the UK, Norway and North Africa. The acquisition, in other words, isn't just about volume; it's a move toward higher-value products and markets that pay well for quality Nordic pine.<\/p>\n The deal also captures something bigger happening across the European industry: companies under financial strain are selling good assets, and better-capitalised groups are buying them to lock in raw material and position themselves ahead of any recovery in construction. Setra is simplifying and defending its position. HS Timber is buying at a weak point in the cycle and positioning for the next one.<\/p>\n Put simply: Setra is selling to relieve pressure and refocus; HS Timber is buying for raw material access, a Nordic foothold, premium products and strategic expansion. It's the same mill \u2014 but it is worth considerably more to HS Timber than it was to Setra.<\/p>\n Retreating from Romania, advancing into the Nordics<\/strong><\/p>\n What makes the Mal\u00e5 deal notable is less the acquisition itself than the direction it points. Just two years ago, HS Timber sold its original Romanian production site in Sebe\u0219 \u2014 the very mill where the company's success story began \u2014 to the Ziegler Group. The reasoning given at the time was telling: Romanian law had capped the company's log purchases at 30 per cent of the annual harvest volume for any given timber assortment since 2016, and the geopolitical fallout from the war in Ukraine had cut off Russian, Ukrainian and Belarusian log supplies that Central European mills once relied on. Import logistics had become, in the company's own words, increasingly difficult.<\/p>\n Since then, the group's acquisition trail has run almost entirely north and east: a Finnish producer, Luvian Saha, in 2022; the Latvian firms Kurekss and Vika Wood in quick succession in early 2025; and now Mal\u00e5 S\u00e5g in Sweden. Each of these markets shares something Romania increasingly cannot offer as easily: large, well-managed conifer forests with fewer of the legal ambiguities and reputational risks that dogged the company's operations further south.<\/p>\n A reputation play too<\/strong><\/p>\n The deal also lands at a moment when HS Timber has been trying, visibly, to rehabilitate its reputation on traceability. The group has recently rolled out expanded GPS tracking of timber transport and a new due diligence platform across its global operations \u2014 moves that read, in part, as an effort to pre-empt the kind of sourcing controversy that has dogged some of its Central and Eastern European operations in the past, just as EU deforestation rules tighten enforcement across the bloc. A mill supplied by Sveaskog, one of Europe's most transparently managed state forestry companies, fits neatly into that story.<\/p>\n The bigger picture<\/strong><\/p>\n Taken together, the moves describe a company quietly repositioning itself: away from the politically fraught, increasingly constrained log markets of South-Eastern Europe, and toward the more tightly regulated but far more reputationally secure forests of Scandinavia and the Baltics.
