U.S. building materials distributor QXO has agreed to acquire insulation specialist TopBuild in a transaction valued at approximately $17 billion, creating a building products mammoth in North America. The deal will position the combined entity as the second-largest publicly traded distributor in the sector, significantly expanding QXO\u2019s footprint across roofing, lumber, insulation, and other construction materials.<\/p>\n
The transaction values TopBuild at $505 per share, representing a premium of around 23% to its last closing price. Shareholders will have the option to receive cash or stock, with the consideration structured at roughly 45% cash and 55% QXO shares. The boards of both companies have unanimously approved the deal, which remains subject to regulatory clearance and is expected to close in the third quarter.<\/p>\n
The acquisition is part of an aggressive expansion strategy led by QXO Chairman and CEO Brad Jacobs. In less than a year, the company has completed acquisitions exceeding $13 billion, including the $11 billion purchase of Beacon Roofing Supply in 2025 and the recent $2.25 billion acquisition of Kodiak Building Partners. With the addition of TopBuild, QXO expects to generate more than $18 billion in combined revenue and over $2 billion in adjusted EBITDA.<\/p>\n
