The company will now operate under the name Holzwerk Naila GmbH. The investor will take over the Naila location and approximately 55 employees, as confirmed by insolvency administrator Volker Böhm. The transition of the business is scheduled for mid-February.

Ziegler sells Engelhardt+Geißbauer Group

FBSL Holding GmbH, based in Burgbernheim, has acquired all six companies of the Engelhardt+Geißbauer Group from the insolvent Ziegler Group. This includes Engelhardt+Geißbauer GmbH, Schwebheimer Holzelementebau GmbH, Sendel+Göß Haustechnik GmbH, Zimmerei Mohr GmbH, Mohr Holzhaus GmbH, and E+G Besitzgesellschaft mbH. The buyer intends to retain the locations and has taken on about 140 of the 170 employees. The purchase price remains confidential, and the transfer took place on February 6, 2025. The investor family, located south of Nuremberg, designs and builds PV systems for both commercial and private clients.

Wood processing unit sold to Rettenmeier

Substantial parts of the Ziegler Group's wood processing division have been sold to the Franconian wood company "Rettenmeier Holding AG." Rettenmeier has acquired Ziegler Holzindustrie GmbH & Co. KG, Ziegler Naturenergie GmbH, Ziegler Forstservice GmbH, and Holzzentrum Ziegler GmbH. Additionally, Rettenmeier has purchased the non-insolvent Ziegler companies Prechtl GmbH Anlagen- und Maschinenbau and Ruhland Druckluft & Systemtechnik GmbH. All locations and approximately 650 jobs will be preserved. A total of 770 jobs have been saved in the wood processing division, according to Böhm. The deal is pending approval from antitrust authorities, and the purchase price remains undisclosed.

No rescue for Ziegler logistics

However, some of the businesses now acquired underwent "personnel adjustments" before the contracts were signed, acknowledges the insolvency administrator. "Without adjustments, particularly in personnel costs, an economically viable operation and the agreed-upon investor solution would have been impossible." This is also the reason why the financially troubled Ziegler Logistik GmbH was shut down, resulting in the loss of around 300 jobs.

Insulation subsidiary Naturheld sold to JRS Group

In mid-January, Ziegler Group finalized a purchase agreement for its insulation subsidiary, Naturheld, which has been sold to the wood fiber manufacturer JRS. This acquisition marks JRS's entry into the insulation market. The deal could be finalized by March 2025, according to insolvency administrator Volker Böhm. The JRS Group, an internationally active family business based in Rosenberg, is looking to expand its product portfolio with Naturheld. The company will continue to operate independently under the JRS Group, and all 130 employees will be retained. The purchase price remains confidential, and the deal is subject to approval from the Federal Cartel Office.

Ziegler Group's bankruptcy wave

The ongoing construction crisis has severely impacted the Ziegler Group. After the bankruptcy of Ziegler Holding, several subsidiaries filed for insolvency in early December, including Ziegler Holzindustrie GmbH & Co. KG, Naturheld GmbH, and Ziegler Logistik GmbH (around 300 employees), among others. The group's companies, such as Ziegler Modulbau, Ziegler Haus GmbH, and the Ziegler subsidiaries in various other sectors, also filed for insolvency.

Ziegler Group's financial troubles and Restructuring plans

Volker Böhm, the insolvency administrator, cited the complex internal structures of the Ziegler Group as a major reason for the numerous insolvency filings. The group's internal cash pooling mechanism is believed to have caused the insolvency to spread from the parent company to its subsidiaries. Efforts are now underway to untangle these connections to make several of the subsidiaries viable for restructuring.

Currently, a "structured" investor process is in place, with the goal of finding investors for many of the Ziegler companies to preserve operations and jobs. The advisory firm PWC is assisting in this process.

Ziegler Group, with a turnover of 750 million euros and over 3,000 employees in Germany, Sweden, and Romania, is one of the largest suppliers to the construction industry. However, its aggressive growth strategy, which involved several acquisitions, has put the company in financial jeopardy, exacerbated by the downturn in the construction industry due to the Ukraine war.
