Ziegler has now sold all six companies of the Engelhardt+Gei\u00dfbauer Group to a Middle Franconian holding company. These include Engelhardt+Gei\u00dfbauer GmbH, Schwebheimer Holzelementebau GmbH, Sendel+G\u00f6\u00df Haustechnik GmbH, Zimmerei Mohr GmbH, Mohr Holzhaus GmbH and E+G Besitzgesellschaft mbH. As the insolvency administrator Volker B\u00f6hm announced, the buyer wants to hold on to the locations and has taken on around 140 of the 170 employees. The purchase price has been kept confidential. The transfer of operations will take place on February 6, 2025. The investor family, based south of Nuremberg, designs and builds PV systems for commercial and private customers, among other things.<\/p>\n<p><strong>Wood processing sold to Rettenmeier<\/strong><\/p>\n<p>Significant parts of the Ziegler wood processing division have been sold to the Franconian wood group \"Rettenmeier Holding AG\". Rettenmeier is taking over Ziegler Holzindustrie GmbH &amp; Co. KG, Ziegler Naturenergie GmbH, Ziegler Forstservice GmbH and Holzzentrum Ziegler GmbH. Rettenmeier is also acquiring the non-insolvent Ziegler companies Prechtl GmbH Anlagen- und Maschinenbau and Ruhland Druckluft &amp; Systemtechnik GmbH. All locations and around 650 jobs are to be retained. A total of 770 jobs have been saved in the wood processing division so far, according to B\u00f6hm. The purchase agreement still has to be approved by the antitrust authorities. Here, too, nothing has been said about the purchase price.<\/p>\n<p><strong>No rescue for Ziegler Logistik<\/strong><\/p>\n<p>However, before the purchase agreement was signed, \"personnel adjustments were unavoidable\" in some of the businesses that have now been taken over, admits the insolvency administrator. \"Without an adjustment, particularly in personnel costs, profitable operation and thus the agreed investor solution would have been impossible.\" This is also the reason why the loss-making Ziegler Logistik GmbH was closed. Around 300 employees have lost their jobs as a result.<\/p>\n<p><strong>Insulation subsidiary Naturheld sold to JRS Group<\/strong><\/p>\n<p>In mid-January, the insolvent Ziegler Group signed a first purchase agreement for its insulation subsidiary Naturheld. It will be taken over by the wood fiber manufacturer JRS, which will wants to enter the insulation market. According to insolvency administrator Volker B\u00f6hm, the takeover could be completed as early as March. The JRS Group is an international family business with headquarters in Rosenberg near Ellwangen. According to B\u00f6hm, it is \"a strategically thinking group of companies that wants to further expand its product portfolio with Naturheld\". Naturheld GmbH will continue to operate independently on the market, according to Nils Gersonde, member of the management of the JRS Group. The handover is to take place by mid-March, subject to approval by the Federal Cartel Office; the purchase price has been kept confidential. In the meantime, production at Naturheld will continue at full capacity, and all 130 employees will be taken on, it was said. In a letter to employees, the company had previously announced that it wanted to sign the first purchase agreements in January.<\/p>\n<p><strong>Wave of bankruptcies at the Ziegler Group<\/strong><\/p>\n<p>The ongoing construction crisis has hit the Ziegler Group hard. Following the insolvency of Ziegler Holding, several of the approximately thirty subsidiaries filed for insolvency at the beginning of December. Affected are Ziegler Holzindustrie GmbH und Co. KG in Pl\u00f6\u00dfberg and Naturheld GmbH, the logistics subsidiaries Ziegler Logistik GmbH (around 300 employees) and Ziegler Global Logistics GmbH (15), as well as the house construction group company Engelhardt + Gei\u00dfbauer GmbH (around 80) and the associated non-operative E+G Besitzgesellschaft mbH. Furthermore, the Ziegler plastic packaging subsidiary ZG Distributionsgesellschaft mbH has filed for insolvency, as has the hardware store Eisen Knorr in Weiden. Insolvency has also been filed for the pellet factory Ziegler Naturenergie GmbH and the Ziegler wood center in Pressath, as well as for Ziegler Forstservice and Ziegler Holztechnik GmbH, both in Betzenm\u00fchle, and for Thermoheld GmbH in Bayreuth. Also insolvent are the Pl\u00f6\u00dfberg-based subsidiaries Ziegler Modulbau, Ziegler Haus GmbH, Ziegler Haus Technik GmbH and Zimmerei Ziegler GmbH, Green Living Service GmbH from Pl\u00f6\u00dfberg and m3plan in Grafenw\u00f6hr.<\/p>\n<p><strong>Unbundling of the Ziegler Group<\/strong><\/p>\n<p>Insolvency administrator Volker B\u00f6hm cited the close ties within the Ziegler Group as the reason for the many insolvency applications. Close service and delivery relationships exist, especially between the core companies of the Ziegler Group around the sawmill. The group's internal cash pooling is the reason why the insolvency is spreading from the parent company to the subsidiaries. If the companies are unbundled, many of the subsidiaries could therefore be rehabilitated.<\/p>\n<p><strong>Investor process for Ziegler underway<\/strong><\/p>\n<p>A \"structured\" investor process is currently underway. Potential buyers are being targeted. \"Since the start of the preliminary insolvency administration<\/p>\n<p>A number of interested parties have already contacted us for a whole series of Ziegler companies,\" says B\u00f6hm. The aim is to develop investor solutions for as many of the Ziegler companies as possible in order to preserve the companies and as many of the respective jobs as possible. In parallel, discussions with interested parties are continuing. B\u00f6hm has commissioned the consulting firm PWC as a so-called M&amp;A consultant to accompany the investor process. \"The companies in the Ziegler Group need an investor so that they can survive in the market as competitive and successful providers in the long term,\" says B\u00f6hm. \"I am convinced that some companies have good future prospects with the right investor.\"<\/p>\n<p><strong>Over two thirds of employees affected by insolvency<\/strong><\/p>\n<p>Ziegler Holzindustrie GmbH und Co. KG, based in Pl\u00f6\u00dfberg\/Upper Palatinate, is the original company of the Ziegler Group and, according to its own information, is one of the largest sawmills in Europe. Around 700 employees are affected by its insolvency alone. Each company must be examined individually to see whether it can be rehabilitated, for example by selling it to an investor. The Nuremberg lawyer from the Schultze &amp; Braun law firm is exploring the restructuring options for the holding company together with the two managing directors Stefan Ziegler and J\u00f6rg Artmann.<\/p>\n<p><strong>Ambitious growth brings Ziegler into difficulties<\/strong><\/p>\n<p>The Ziegler Group, with an annual turnover of 750 million euros and over 3,000 employees in Germany, Sweden and Romania, is one of the largest suppliers to the construction industry. Its core business is wood production and processing for the construction industry. In recent years, Ziegler has embarked on an aggressive growth course through acquisitions, according to insolvency administrator B\u00f6hm. The group now includes over 30 companies that are active in logistics, pellet production, forestry, window construction and building services, among other areas. Ziegler wanted to become one of the largest eco-prefabricated house producers in the country, with sales of up to 3,000 houses per year. The collapse of the construction industry as a result of the Ukraine war hit the Ziegler Group hard \"in the middle of its growth phase,\" said B\u00f6hm.
