The sale, which was completed in January 2023, has since led to legal battles over the terms of the acquisition and claims of financial misrepresentation.<\/span><\/p>\n

Background of the acquisition<\/strong><\/p>\n

P\u00f6lkky Oy, one of Finland\u2019s leading sawmill companies, was sold by the Virranniemi family to Austrian-based Pfeifer Holding in a deal finalized on January 31, 2023. The purchase was initially seen as a major step for Pfeifer\u2019s expansion into the Finnish market, with P\u00f6lkky\u2019s assets, including sawmills in Kuusamo, Kajaani, and Taivalkoski, being valuable due to their access to abundant timber resources in the region.<\/p>\n

However, shortly after the acquisition, Pfeifer claimed that it had overpaid for P\u00f6lkky due to incomplete and inaccurate information about the company's investment costs. Specifically, Pfeifer stated that the real costs of modernizing the Kajaani and Taivalkoski sawmills had not been fully disclosed during the negotiation process.<\/p>\n

According to Pfeifer, the company was surprised to discover that the Kajaani sawmill required an unexpected investment of nearly \u20ac100 million. P\u00f6lkky\u2019s financial situation has been a central point of contention in the ongoing dispute. Despite the company posting profits of \u20ac22 million and \u20ac27 million in 2021 and 2022 respectively, it reported a loss of \u20ac37.5 million in 2023. The primary source of financial strain has been the modernization of the Kajaani sawmill, which saw its annual production capacity more than double from 200,000 cubic meters to 450,000 cubic meters.<\/p>\n
