A deal between investment group Bonum Capital and Russian forestry major Segezha will create the largest forestry assets holder in Russia, with five times more land than its closest public peers. The M&A will also make Segezha the second largest lumber manufacturer in Europe, bringing it into the list of top 10 global players in the industry.<\/em><\/span><\/p>\n

The deal, which could be finalised late this year or early next, will see Segezha acquire the assets of Inter Forest Rus, a holding company valued at $515 million with extensive forest resources and high-quality manufacturing assets. The assets acquired by Segezha will expand its existing resource base by half again, bringing a total of 16 million hectares of forest under its stewardship. Further capacity will be provided by the infrastructure acquired in the deal, which includes two new pulp mills, two new sawmills and a plywood mill as well as a fleet of boats for river transportation.<\/p>\n

The assets acquired will accelerate the creation of a cluster of timber enterprises in Siberia \u2013 the \u201cSegezha East\u201d project that complements Segezha\u2019s other cluster in northwest Russia \u2013 and enable the company to easily ship its products to clients in fast-growing Asian markets as well as Europe, across the CIS and elsewhere. The deal will also bring the company an additional 5,000 employees.<\/p>\n

Segesha's sawmill capacity will increase to 3.4 million m\u00b3 of lumber per year. Thus, Segezha Group will enter the top ten world lumber producers. In addition, the production of wood-fuel pellets will grow to 380 thousand tons, the production of plywood by 20% to 232 thousand m\u00b3.<\/p>\n

It is known that the Inter Forest Rus group of enterprises includes timber processing and logging enterprises, as well as a river fleet of 98 vessels.\u00a0The volume of the holding's allowable cut is about 11 million m\u00b3.
\nTo fund the deal, Segezha Group may sell up to 25 billion rubles ($349 million) of new bonds and will use 10 billion of IPO proceeds on top of 15 billion rubles of cash, it said in a presentation. The transaction is expected to close in early 2022, subject to regulatory and shareholder approvals.<\/p>\n

Segezha\u2019s shares advanced as much as 6.4% to a record high in Moscow on Monday after the deal was announced.<\/p>\n
