The planned separation of Bergslagets Skogar would give those forests a management team and a shareholder base focused on what the land and trees can earn.

That is the proposition presented at the company’s first Capital Markets Day in Stockholm on November 3. More than 1.2 million hectares of Swedish forest land would move into a separately listed business, with income from harvesting, growth in the remaining timber stock and land appreciation forming its investment case.

“From today, the forests are our strategy,” chief executive Tuomas Hallenberg said. For Stora Enso, the separation would concentrate management and investment more firmly on renewable materials and packaging. For Bergslagets Skogar, it would put decisions about the forests under a board whose principal concern is their long-term value.

The mills remain close

The new company will begin independent life with a familiar customer.

An 18-year take-or-pay agreement with Stora Enso, effective since January 2026, preserves the timber supply relationship. Prices are market-based, and the arrangement allows greater customer diversification over time. Historically, all the forest business’s timber volumes went to Stora Enso.

Commercially, this gives Bergslagets Skogar an established buyer as it builds a separate business. Its freedom to develop other customer relationships will expand gradually. The operating model centres on selling harvesting rights, with buyers carrying out the harvesting.

Hans Sohlström and Tuomas Hallenberg at Capital Markets Day in Stockholm

The forests held approximately 137 million cubic metres of standing timber in September. Turning part of that resource into annual cash income still means dealing with weather and timber markets. Management said storm Johannes had increased harvesting volumes in 2026 while putting pressure on wood prices. It expects both volumes and prices to normalise in 2027.

An independent listing changes ownership and investment decisions. It cannot remove the conditions under which the wood is grown and sold.

Paying shareholders while growing the forest

The financial targets require Bergslagets Skogar to balance current income with the resource left for future years.

Management wants net standing timber volume to grow by an average of 1% annually. Harvesting would therefore continue alongside an increase in the remaining stock. The company also targets a long-term annual free cash flow return of 2%, with ordinary dividends accounting for 80–100% of adjusted net income.

The intended payout is substantial, although the earnings measure is carefully defined. Changes in the accounting value of biological assets are excluded, along with certain other items, and reforestation investments are deducted after tax. A higher valuation of the trees would not automatically provide more money for the ordinary dividend.

The 2% cash-return target also needs to be read correctly. It measures free cash flow against the average fair value of the forest assets. It is not a promised dividend yield on the eventual share price.

This leaves investors with two things to assess: the income available for distribution and the value accumulating in the land and standing timber. The price paid for the shares will determine how attractive that combination becomes.

A valuable estate, with debt attached

The preliminary financial figures put the forest assets at SEK 63.75 billion, approximately EUR 5.81 billion, at the end of September. Free cash flow over the preceding twelve months was SEK 984 million (EUR 89.7 million), producing a return of 1.6% under the company’s definition.

Reaching 2% will require improvement from that starting point. The published figures are unaudited and have not been adjusted for standalone costs.

Bergslagets Skogar expects to have approximately SEK 9.1 billion (EUR 829 million) in net debt at listing. The proposed net loan-to-value range is zero to 20%. Stora Enso, meanwhile, expects the transaction to reduce its own net debt by about EUR 800 million. Euro equivalents use the ECB’s November 4 rate.

More ways to earn from the land

Harvesting will remain central, but the estate offers other sources of income. The strategy includes wind-power and hunting leases, gravel extraction and transactions to improve the landholding portfolio.

In renewable energy, the plan is to develop projects to the ready-to-build stage and sell them. The forest-business materials identify an ambition of 10 TWh of wind-power generation by 2035.

These activities give management additional uses to consider for individual sites. Decisions about where to harvest, retain land, lease it or develop a project will increasingly be made within a company dedicated to the forest estate. The strategy also commits Bergslagets Skogar to increasing biodiversity and climate benefits alongside its financial objectives.

A separate market valuation from 2027

Shareholders will vote on the separation at an extraordinary general meeting in Helsinki on December 15. Completion is planned for March 31, 2027, with trading in Stockholm and Helsinki intended to begin shortly afterwards.

Existing Stora Enso shareholders would receive one corresponding Bergslagets Skogar share for each Stora Enso share they hold, while keeping their Stora Enso investment.

They would then be able to value the two businesses separately. One would depend primarily on manufacturing and selling renewable materials and packaging. The other would depend on timber income, the management of a large Swedish forest estate and the price investors are willing to pay for assets whose productive life extends far beyond the next reporting period.

For years, Stora Enso’s Swedish forests have served a wider industrial purpose: supplying mills, supporting production and competing for investment within a large manufacturing group.
