The company is targeting annual sales of more than €550 million by 2030, compared with €409 million in 2025.

The separation will give WISA greater control over investment decisions after years as one of UPM's smaller businesses. The company is preparing to increase production, develop specialised plywood products and pursue new growth opportunities as European manufacturers contend with weak construction demand, high operating costs and competition for raw materials.

Acquisitions on the table

WISA Group is considering acquisitions as part of its growth strategy, with CEO Tuija Suur-Hamari pointing to the fragmented European plywood industry as a potential source of opportunities.

"That's an option for WISA," Suur-Hamari said when asked about acquisitions during the company's Capital Markets Day on September 23.

She added that potential acquisition targets would need to fit WISA's strategy. The company has not identified any businesses it intends to purchase.

The comments mark a significant development for UPM's plywood operations, which have historically competed for investment capital with much larger businesses within the Finnish forest industry group.

As an independent company, WISA will have greater freedom to allocate capital to production improvements, new products and potential expansion. The shift could allow management to pursue opportunities that previously struggled to attract investment within UPM.

Europe's plywood industry remains fragmented, with manufacturers ranging from large industrial groups to smaller family-owned operations. Production is concentrated in several northern and eastern European countries, although companies differ considerably in their product portfolios, raw material supplies and export markets.

The sector has faced difficult trading conditions in recent years. Weak residential construction activity has reduced demand for conventional plywood, while higher energy, labour and timber costs have squeezed margins. Competition from imported panels has added pressure, particularly in price-sensitive applications.

These conditions could create opportunities for larger manufacturers seeking to expand their production networks or enter specialised markets through acquisitions.

For WISA, potential purchases could provide access to additional manufacturing capacity, established customers or products that complement its existing range.

Growth targets and production capacity

WISA operates seven production units in Finland and Estonia, with a combined theoretical annual production capacity of approximately 785,000 m³.

The company recorded sales of €409 million in 2025 and has set a target of exceeding €550 million by 2030, representing an increase of more than one-third. It is also aiming for a comparable EBIT margin of 13%.

Management sees opportunities to increase output from existing mills, particularly in birch and spruce plywood production. Higher utilisation of installed capacity could support revenue growth without requiring immediate investment in new manufacturing facilities.

The company is also looking to improve operational efficiency and strengthen its product mix, with greater emphasis on applications where technical performance and customer specifications are important.

Acquisitions could supplement these measures by expanding WISA's manufacturing footprint or providing access to additional markets.

The company's growth strategy will nevertheless depend on demand recovering in key end-use sectors. European construction remains under pressure, and manufacturers continue to face competition from lower-cost suppliers in international markets.

WISA's established customer relationships and distribution network provide a platform for expansion, while its existing factories offer opportunities to increase production as market conditions improve.

Specialised plywood markets offer expansion opportunities

WISA is seeking to increase its presence in specialised industrial plywood markets, including LNG shipbuilding and commercial vehicle flooring.

The company estimates that the LNG shipbuilding market could expand by nearly 9% annually through 2030, supported by demand for vessels transporting liquefied natural gas.

Plywood is used in insulation systems for LNG carriers, where materials must meet demanding technical specifications. WISA estimates that it holds approximately 22% of the specialised plywood market serving this application.

Vehicle flooring is another important business. The company estimates its market share at approximately 34%, supplying plywood used in trailers and commercial vehicles.

These products require resistance to mechanical stress, abrasion and demanding operating conditions, allowing manufacturers to compete on performance and product quality rather than price alone.

WISA is also developing new plywood products and seeking opportunities to increase sales in industrial applications beyond conventional construction.

The company's position in these markets could influence its future investment decisions, including the types of manufacturers or technologies it might consider acquiring.

Raw material availability remains central

WISA's expansion plans come as northern European wood-processing companies continue to compete for suitable raw materials.

The company relies on birch and spruce logs, including higher-quality timber required for veneer production. Availability and procurement costs vary across its operating regions, affecting production economics and opportunities to increase output.

Suur-Hamari has argued that plywood manufacturers are in a relatively strong position when competing for premium logs because of the higher value of their finished products.

However, rising harvesting costs, changes in forest management and competition from other wood-processing industries remain important factors for producers in Finland and Estonia.

The ability to secure sufficient raw materials will be particularly important as WISA seeks to raise capacity utilisation at its existing factories.

For potential acquisitions, access to timber supplies would also be a significant consideration, alongside production costs, technology and customer relationships.

Independence opens a new chapter

The separation from UPM is scheduled to take effect on October 31, with WISA Group shares expected to begin trading on Nasdaq Helsinki on November 2, subject to completion of the transaction.

WISA will inherit an established production network, recognised brands and international customers, while taking direct responsibility for its investment decisions and financial performance.

The transaction will also change how the company's expansion projects are evaluated. Rather than competing for capital within UPM's diversified operations, WISA will be able to direct investment towards the plywood industry's specific requirements.

Management has identified organic growth, product development and acquisitions as potential ways to expand the business.

The company's emergence as an independent listed manufacturer comes at a time when Europe's plywood industry is facing pressure to improve efficiency and adapt to changing demand.

WISA's acquisition ambitions could add a new element to the European market, particularly if difficult trading conditions encourage smaller manufacturers to consider partnerships or sales.

For now, the company is concentrating on its separation from UPM and the implementation of its growth strategy, with higher production, specialised products and potential acquisitions forming the basis of its plans through 2030.

UPM’s plywood business is preparing to become an independent listed company under the WISA Group name, with plans to accelerate growth and expand its position in European and international markets.
